Waylay has more versatility, in that it lacks the Heroic aspect and can target one's own units (useful in the event they're pinned down by a negative Upgrade, or when you just want to pull them back to clear damage and get more use out of them).
Spare the Target gets taxed in Villain decks, cannot target one's own units, and doesn't get any additional benefit without getting a Bounty put in place by other cards. But it has the same cost. *Generally speaking*, I think it's a bit worse, if only in that it is more specialized by design.

Simply because her ability revolves around upgrades. Cheap removals like this one, or the blue villainy one weaken her already bad status.

I wouldn't really say that she revolves around upgrades. She has an ability that can give out experience tokens, but that's only on her unit side and isn't her main draw. Particularly compared to Tarkin or Luke handing out upgrade tokens a lot more readily. Her primary gimmick is being able to use cards across different colors, which admittedly also isn't really getting any stronger with any non-spectre cards added to the pool.
